Terms of Service for WebSqr EZGR

Effective Date: July 22, 2025

1. Acceptance of Terms

By installing, accessing, or using the WebSqr EZGR app (“App”) on your Shopify store, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not install or use the App.

2. Definitions

• “App” refers to WebSqr EZGR, developed and offered by Websqr (trading name of Brica IT 2023).
• “We,” “Us,” “Our” means Websqr (Brica IT 2023).
• “You,” “Your,” “User” means the Shopify merchant who installs or uses the App.
• “Shopify” means Shopify Inc., the platform through which the App is installed and billed.
• “Google API” means Google’s OAuth-protected My Business API, used to fetch public reviews.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on your Shopify store solely to:

1. Connect your Google My Business account via OAuth.
2. Fetch and display your public business reviews.

4. User Obligations & Prohibited Conduct

You agree that you will not, directly or indirectly:

• Reverse-engineer, decompile, or otherwise attempt to derive the App’s source code.
• Probe, scan, breach, or test the App’s security or use any automated tools to scrape data beyond the scope of OAuth permissions.
• Interfere with the App’s operation or infringe on other users’ data.
• Use the App in any unlawful manner or to violate any applicable law or regulation.
• Circumvent Shopify’s billing or licensing mechanisms.

You are responsible for keeping your Shopify and Google credentials secure and for all activities under your accounts.

5. Fees & Payment

• Billing: All charges for use of the App are handled by Shopify according to the plan you select in the Shopify App Store.
• Payment Terms: Shopify will bill you directly; we do not collect or store your payment information.
• Refunds & Cancellations: Any refund or cancellation requests must be made through Shopify’s support channels, in accordance with Shopify’s policies.
• Changes to Fees: We may adjust our pricing; you will be notified via email at least 30 days before any increase.

6. Intellectual Property

All rights, title, and interest in and to the App (including code, design, logos, and documentation) remain with Websqr (Brica IT 2023). Your use of the App does not transfer any ownership rights to you.

7. Privacy & Data

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect data. By using the App, you consent to our data practices as outlined in that policy.

8. Disclaimers & Warranties

• “As-Is” Basis: The App is provided “as is” without warranties of any kind, express or implied.
• No Guarantee: We do not promise the App will meet all your requirements, be uninterrupted, error-free, or secure.
• No Endorsement: We are not responsible for the content of Google reviews or for any actions you take based on displayed reviews.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will Websqr (Brica IT 2023) be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the App. Our total liability is capped at the amount you paid for the App in the twelve months preceding any claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Websqr (Brica IT 2023) and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms.
• Your misuse of the App.
• Your violation of any law or the rights of a third party.

11. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or Shopify’s policies. Upon termination:

• Your license to use the App ends immediately.
• All data stored by the App will be deleted in accordance with our Privacy Policy.

12. Modifications to Terms

We may revise these Terms from time to time. If changes are material, we will notify you by email to the address associated with your Shopify account at least 30 days before they take effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales without regard to conflict-of-law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Entire Agreement & Severability

These Terms, together with the Privacy Policy and any Shopify policies referenced herein, constitute the entire agreement between you and Us regarding the App. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
